What the commission applies to

Commission is charged on

  • Cash at closing
  • Seller financing
  • Assumed debt, where applicable
  • Earn-outs, when actually paid
  • Holdbacks, when released
  • Non-compete or consulting payments that are really purchase price
  • Liabilities the buyer pays that benefit the seller

Not charged on

  • Inventory
  • Normal working capital
  • Genuine post-close employment pay
  • Reimbursed expenses
  • Escrow fees
  • Legal fees

On contingent payments (earn-outs, seller notes, holdbacks) you pay the commission when you actually receive the money, not upfront.

Frequently asked questions

Why marginal tiers instead of one rate?

So there are no cliffs. Each rate applies only to the part of the price inside its tier, so selling for a little more never costs you more in fees than you gained.

When do I pay?

When the transaction closes, out of the escrow payout. On earn-outs, seller notes and holdbacks, you pay when those amounts are paid to you.

Is there a listing fee?

No listing fee for managed sales. Marketplace listings may carry an optional verification fee, and any setup or valuation fee is credited toward your commission at closing.

What if my asset sells for under $50,000?

Assets under $50,000 use the marketplace plan. The managed plan starts at $50,000 with a $5,000 minimum commission.

Who pays for escrow?

Escrow.com charges its own fee, usually split between buyer and seller or agreed during negotiation. Enter your share in the calculator to see your net.

Are very large deals different?

Unusually large or complex transactions can be handled as a custom engagement. Talk to us before you list.
